Framework agreement for the design, supply, installation and commissioning of photovoltaic panels to domestic roofs. Frank Haslam Milan & Company Limited are shortly to enter into a joint venture with a number of social housing providers (the "JV") (see above) with the intention of implementing a green energy initiative across County Durham. The initiative involves the following: (a) Initially, the installation of photovoltaic panels to approximately 3 000 domestic properties (although the actual number of installations may be greater or fewer than 3 000); and (b) Potentially a further number of properties in excess of the initial 3 000 (approximately). Call-offs for tranches of these properties will be awarded following appointment to the framework agreement as and when required by the JV. The JV, when formed, wishes to establish a framework for the design, supply, installation and commissioning of the photovoltaic panels ("PV installation"). Work will be allocated via call-off contracts. Call-offs for tranches of properties under (a) will be awarded immediately following appointment to the framework agreement. Payment for the completion of works under (a) will not be made before May 2012 and then only once the systems are installed, certified and proved to satisfy the requirements imposed by the funder (as set out in the Tender documents). At this stage 97,5 % monies will be released and the remaining 2.5 % released after a further 12 month defects and monitoring period. Call-offs under (a) are currently estimated to be in tranches of 1 000 properties each although the JV reserves the right to award fewer or more properties under each call-off at its discretion. All of the PV installations under (a) must be completed and operational no later than 31.3.2012. Call-offs for tranches of properties under (b) will be awarded will be awarded following appointment to the framework agreement as and when required by the JV. The successful contractors will be appointed to the framework and, following award of each call-off contract will be responsible for the survey of the roofs, design, supply and installation of the PV installation to strict performance requirements. The appointed contractors will be paid for the works under (a) once they are completed, tested and commissioned to pre-agreed performance standards and dates as detailed within the pre-qualification questionnaire (PQQ) and tender documents.
